Due diligence is the process through which a potential acquirer evaluates a target
company or its assets for acquisition.
It may include some or all of the following aspects:
- Financial due diligence (a review of the financial position and obligations of
a target to identify such matters as covenants and contingent
obligations)
- People due diligence ( key staff positions under the new structure, contract termination
costs and cost of integration)
- Regulatory due diligence ( review of the target’s level of compliance with the
relevant regulation )
